Legal Counsel

EMCD is a leading technology company in the crypto industry, best known as the largest mining pool in Eastern Europe. We are expanding globally and building a comprehensive ecosystem of crypto services, including payment infrastructure, custody, mining solutions and enterprise-grade tools for businesses and institutions. EMCD comprises a complete ecosystem of crypto services built around a top 10 global mining pool (#1 in Eastern Europe).

Responsibilities:

1. Contracts & day-to-day legal support
   • Draft, review, and negotiate a variety of commercial agreements under supervision/guidance when needed (e.g., NDAs, service agreements, supplier/vendor contracts, partnership agreements, licensing/IP-related agreements, project contracts, logistics/transport agreements).
   • Maintain contract templates and help adapt them to different jurisdictions (focus on EU/UAE/US and CIS, depending on project needs).
   • Support contract lifecycle processes (redlines, approvals, signature flow, repository hygiene).
2. Corporate & structuring support
   • Support incorporation, changes, and maintenance of legal entities across jurisdictions (EU, UAE, US, offshore and CIS, as required).
   • Assist with preparing and organizing corporate documents (board/shareholder resolutions, powers of attorney, internal registers, basic governance docs).
   • Help coordinate and track corporate actions with external providers (corporate services, notaries, registered agents).
3. FinTech/Web3 legal support
   • Support legal work for digital assets, token-related documentation (e.g., SAFE/SAFT-style instruments), and Web3 operational topics (e.g., VASP-related support work, mining pool structures, DAO-related documentation where applicable).
   • Contribute to legal research and issue-spotting on regulatory constraints for product launches/market entries, escalating complex topics to senior counsel.
4. Compliance & regulatory coordination
   • Assist with compliance projects: collecting requirements, preparing document packs, supporting onboarding/licensing workflows with regulators or partners.
   • Help maintain internal compliance/legal policies and procedures (first drafts, updates, version control).
5. Legal operations & risk basics
   • Support legal risk mitigation by keeping decisions documented and ensuring traceability (emails, approvals, final versions).
   • Help maintain internal reporting, trackers, and a clean legal document workflow.
6. External counsel coordination
   • Coordinate external law firms across jurisdictions: requests, document exchange, tracking deliverables, and keeping cost/time under control.

Requirements:

• Law degree.
• 2–4 years of experience in an in-house legal role or a law firm (international exposure is a plus).
• Strong comfort working in English and Russian (legal writing, email correspondence, reviewing documentation, joining calls).
• Solid foundation in contract law and corporate basics; ability to learn regulatory topics quickly.
• Practical mindset: can move matters forward, manage priorities, and keep documents organized.
• Comfortable working with distributed teams and multiple stakeholders.
