The Role
A Fractional CFO designs and runs the financial architecture of the group: how the entities are structured across jurisdictions, how capital moves between them, how cash is held and controlled, and how the founders see the numbers. You will work directly with the founders and alongside external legal and tax counsel. Bookkeeping stays with external accountants.
The priority is corporate structuring, source of funds and compliance readiness, treasury, and management reporting. Financial modeling and budgeting are part of the mandate, however operationally covered by the current Financial Manager - who will be a dotted line report to a fractional CFO role.
Responsibilities: What You Will Drive
Corporate structure and tax architecture (together with legal)
Architecting holding-company setups spanning 2-4 jurisdictions (EU + APAC) and selecting optimal domiciles for operating companies, holdings, and investment platforms;
Performing BEPS / ATAD / CRS impact reviews and producing transfer-pricing documentation;
Aligning dividend, royalty, and interest flows to keep the effective group tax rate in the desired range;
Coordinating with external legal and tax counsel to build compliant and cost-efficient structures, and pushing back on advice that is over-engineered or over-priced;
Maintaining a current map of entities, ownership, directorships, substance requirements, and filing calendars.
Source of funds and compliance readiness
Building and maintaining source-of-funds and source-of-wealth documentation to a standard that holds up under bank, EMI, and investor review;
Owning KYC and AML files across jurisdictions and refreshing them ahead of periodic reviews;
Preparing the financial part of due-diligence packs for investors, banking partners, and counterparties;
Structuring inter-company funding through equity, loans, and capital contributions, with matching documentation and substance;
Flagging jurisdictional, sanctions, and sector risk in regulated wellness, telemedicine, and adjacent categories before it turns into a banking problem.
Treasury and cash control
Setting up and maintaining banking and EMI relationships across the group, including account opening in new jurisdictions;
Deciding where cash sits, in which currencies, under whose signature, and at what approval thresholds;
Managing FX exposure, liquidity, and runway across entities and projects;
Owning payment rails and payment authority, including who can initiate payments, who approves them, and what is never automated;
Producing a reliable rolling cash-flow view for the founders.
Management reporting and financial policies
Introducing management accounting (FP&A), cost control, and payment workflows across the group;
Building KPI dashboards and unit-economics frameworks covering operating expenses, marketing spend, payroll, and project costs;
Setting the reporting cadence and formats, including what the founders receive and by when;
Setting up policies and systems for procurement, marketing, licensing, and IP contracts;
Defining approval limits, segregation of duties, and audit trail at a scale that fits a small team.
Experience: What You Bring
Structuring and tax
Hands-on experience architecting multi-jurisdiction holding structures, ideally across both EU and APAC;
Working command of BEPS, ATAD, CRS, substance requirements, and transfer pricing, at a level that lets you direct advisors instead of relying on them;
Track record of aligning intra-group flows to a target effective tax rate without building structures that fail bank or investor review.
Capital, banking, and compliance
Proven experience opening and holding banking and EMI relationships for cross-border groups, including in sectors under heavier scrutiny;
Fluency in source-of-funds and KYC / AML documentation from the applicant side;
Experience preparing financial due-diligence materials for investors or acquirers.
Operating finance
Experience building an FP&A and management-reporting function from scratch;
Comfort with unit economics and project-level P&Ls in early-stage or multi-project environments;
Financial modeling capability sufficient to build and own the models;
Venture builder, family office, fund, or multi-entity group background is a strong advantage.
Working style
Able to deliver senior output part-time and remotely, without a team underneath you;
Precise with documentation, approvals, and anything that moves money;
Direct with founders when a structure, a spend, or a timeline does not work;
Comfortable building the first version of a process.
What We Don’t Expect
Day-to-day bookkeeping, payroll processing, or statutory filings;
Acting as legal counsel, which stays with external lawyers;
Leading fundraising or investor relations as a primary mandate;
Implementing an enterprise ERP or a corporate-scale finance stack;
Full-time availability.
Engagement Format
Fractional and remote, with a monthly time commitment agreed at the start;
European time zone preferred, with occasional travel for banking, notarial, or advisor meetings;
Direct reporting line to the founders.
