Legal Counsel

What you'll do

• Manage the full legal life cycle of group entities across multiple jurisdictions — incorporations, reorganizations, governance, and liquidations

• Draft, review, and negotiate commercial agreements (Software Development, Technology Services, SaaS, Investment, Merchant Services, Partnership)

• Support licensing and regulatory compliance

• Maintain corporate records and ensure governance consistency across the group

• Develop and maintain internal legal infrastructure — templates, workflows, policies, and compliance calendars

• Oversee KYC/KYB processes, assist in bank/EMI onboarding, and prepare supporting legal documentation (SoF/SoW, leases, service & employment contracts)

• Conduct legal research on cross-border regulatory issues

• Collaborate closely with Finance, Compliance, Product, and Operations teams to support launch of new products and business models

• Manage external counsel and contribute to strategic decision-making

Required

• Law degree (master’s or equivalent); international law or technology law focus preferred

• 5+ years of experience in corporate/commercial law, ideally in fintech, payments, or crypto industries

• Proven track record in international group structuring and regulatory licensing

• Excellent legal drafting and negotiation skills in English and Russian

• Practical experience with entity management, KYC/KYB, and compliance operations

• Ability to work independently, manage priorities across multiple jurisdictions, and build efficient processes from the ground up

• Proficiency in legal tech tools (CLM, JIRA, Notion, Confluence, DocuSign, etc.)
